Terms of Service

v3.2

Last Updated: October 2026

Version 3.3 of these Terms takes effect on November 4, 2026. Until then, version 3.2 applies. The changes are in Section 3 (Authority) and Section 11 (Limitation of Liability).

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and 404 Innovationz LLC ("Company," "we," "us," or "our"), doing business as MECH Inspect. By accessing, downloading, installing, or using the MECH Inspect Chrome Extension and associated services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Nature of Service & AI Disclaimer

PLEASE READ CAREFULLY:

The Service utilizes Artificial Intelligence (AI) and third-party Application Programming Interfaces (APIs) to provide technical automotive information.

  • No Professional Advice: The Service is an informational tool only. It is NOT a substitute for professional human judgment, diagnosis, or repair expertise.
  • Potential for Error: You acknowledge that AI systems are probabilistic and may generate incorrect, incomplete, misleading, or "hallucinated" information.
  • User Responsibility: You agree to independently verify all diagnostic suggestions, trouble code interpretations, and repair procedures provided by the Service before performing any work on a vehicle. We are not liable for any damage to vehicles, injury to persons, or financial loss resulting from your reliance on the Service.

2A. Vehicle History & Data Reports Disclaimer

The vehicle history reports and data lookups provided through MECH Inspect are for informational purposes only. While we strive to provide accurate, up-to-date information, these reports may be incomplete or may not cover every aspect of a vehicle's history.

Limitation of Data Sources

The data in these reports comes from publicly available vehicle records, manufacturer databases, and integrated shop management systems. However, not all auto repair shops participate in submitting data to third-party services, and we do not integrate with every shop management system. Additionally, DIY maintenance, service, and repairs are not included. As a result, service and repair histories may be incomplete or missing if previous auto repair shops or vehicle owners did not report their work.

Recommendations Are Guidelines Only

The recommendations from MECH Inspect are based on available data and serve as guidelines. They should not replace professional advice and are not guaranteed to be accurate, complete, or suited to your specific needs.

User Responsibility

Always cross-reference vehicle history records, inspections, and other data sources for the most accurate and complete information. MECH Inspect is not liable for any errors, omissions, or inaccuracies in these reports.

No Guarantees

The reports are provided "as is" without guarantees of completeness, accuracy, timeliness, or the results of their use.

Limitation of Liability for Reports

By using MECH Inspect, you acknowledge that the reports are for informational purposes only and agree that 404 Innovationz LLC, its affiliates, officers, directors, and employees shall not be responsible for any claims, losses, or damages arising from your reliance on them.

3. Accounts and Security

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Where you voluntarily provide the Service with credentials for any third-party platform (for example, to enable single-sign-on or session continuity in the Chrome Extension), you authorize us to store and replay those credentials on your behalf solely for the purpose of operating Service features you have enabled, and you represent that storing those credentials in the Service does not violate any agreement between you and the operator of that platform.

No Sharing: Accounts are for individual use only. You may not share your login credentials with other individuals.

Eligibility

  • Minimum Age: You must be at least 13 years old to use the Service.
  • Minors (Ages 13–17): If you are between 13 and 17, you may use the Service only with the consent of a parent or guardian and only in connection with bona fide professional training or apprenticeship in the automotive industry.
  • Authority: By using the Service, you represent that you meet these eligibility requirements and, if you are accepting these Terms on behalf of an organization (such as a shop), that you have the authority to bind that organization. If your account manages shop locations that are separate legal entities, you further represent and warrant that you have the actual corporate authority to bind each of those entities to these Terms and to the Data Processing Addendum, that each of them has authorized you to submit its data to the Service, and that you will pass on to each of them any notice from us that bears on its data.

Account Termination

  • Termination by You: You may request deletion of your account at any time by contacting support. Upon deletion, your data will be removed within 30 days, except as required by law.
  • Termination by Us: We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, pose a security risk, or are required by law enforcement.

Account Quarantine

In addition to suspension or termination, we may temporarily place an account into a read-only, limited-feature, or otherwise restricted state ("Quarantine") pending investigation of: suspected violations of these Terms, suspected unauthorized access or credential compromise, suspected fraudulent activity, a payment failure or chargeback, a court order or law-enforcement request, or a material security or stability risk to the Service. While in Quarantine, you may retain access to view your existing data but may be prevented from generating new diagnostic queries, accruing leaderboard points, modifying account settings, or sending communications through the Service. We will lift Quarantine promptly once the underlying issue is resolved or, where the issue cannot be resolved, escalate to suspension or termination under Account Termination above.

4. Subscription, Billing, and Cancellation

BY PROVIDING A PAYMENT METHOD AND SUBSCRIBING TO THE SERVICE, YOU EXPRESSLY AUTHORIZE 404 INNOVATIONZ LLC (DOING BUSINESS AS MECH INSPECT) TO CHARGE YOUR CREDIT CARD, DEBIT CARD, OR OTHER DESIGNATED PAYMENT METHOD FOR ALL FEES AND CHARGES DUE UNDER YOUR SELECTED SUBSCRIPTION PLAN, INCLUDING RECURRING CHARGES, ON A MONTHLY BASIS, UNTIL YOU CANCEL YOUR SUBSCRIPTION.

  • Free Trial: Newly created shops may include a free trial period (currently 30 days) on their first subscription. To start a free trial, you must provide a valid payment method. YOU WILL NOT BE CHARGED DURING THE FREE TRIAL PERIOD. However, at the end of the free trial, your subscription will automatically convert to a paid subscription and your payment method on file will be automatically charged the applicable monthly subscription fee unless you cancel before the free trial period ends. You may cancel at any time during the free trial through your account dashboard at no charge.
  • Recurring Billing Authorization: By subscribing to the Service, you authorize us to charge your payment method on file on a recurring monthly basis at the then-current subscription rate. Your subscription is charged on the same date each month. You acknowledge that the amount charged may vary if you change plans, add seats, or if pricing changes with prior notice.
  • Auto-Renewal: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH MONTHLY BILLING CYCLE AND YOUR PAYMENT METHOD WILL BE CHARGED THE APPLICABLE SUBSCRIPTION FEE, UNLESS YOU CANCEL AT LEAST 24 HOURS PRIOR TO THE RENEWAL DATE. You will receive a reminder email before each renewal. It is your responsibility to cancel before the renewal date if you do not wish to continue.
  • Payment Method on File: You agree to keep a valid payment method on file for the duration of your subscription. If your payment method fails or is declined, we may retry the charge, suspend your access to the Service, or cancel your subscription. You are responsible for any fees resulting from failed payments, including but not limited to bank overdraft or insufficient funds fees charged by your financial institution.
  • Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period. You will retain access to the Service through the end of the period you have already paid for. No further charges will be made to your payment method after cancellation takes effect. Cancellation does not entitle you to a refund for the current billing period.
  • Refund Policy: We offer a 30-day money-back guarantee on all plans. If you are unsatisfied within the first 30 days of your initial paid subscription, you may request a full refund by contacting support. After the 30-day money-back guarantee period, all fees are non-refundable except as required by applicable law. We do not provide refunds or credits for partially used subscription periods beyond the initial guarantee period.
  • Price Changes: We reserve the right to change our subscription fees upon 30 days' prior written notice. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
  • Additional Seats (Shop Plan): Included seats (10 per open shop) are shared across all shops in your account; additional seats are billed only when the account's total exceeds that. If your account exceeds the included seat allotment, additional seats may be purchased at the then-current per-seat rate. An additional seat is added to your recurring subscription charge starting on your next billing date; there is no charge for the rest of the billing period in which it is added. A seat removed during a billing period earns no credit or refund for the rest of that period and is no longer billed from your next billing date. By adding seats, you authorize us to charge your payment method for the additional amount.
  • Car Care Video Add-On: Shops may receive third-party explainer videos from AutoNetTV Media, Inc. as an optional add-on to the Shop plan (the "Car Care Video Add-On"), described in Section 6A. The add-on is enabled by default for each new location when that location is created or activated, and the first two months from that date are free. AFTER THE FREE PERIOD ENDS, THE ADD-ON AUTOMATICALLY CONVERTS TO A PAID ADD-ON AT THE THEN-CURRENT RATE (CURRENTLY $30 PER LOCATION PER MONTH), ADDED TO THAT LOCATION'S RECURRING SUBSCRIPTION CHARGE, UNLESS A COMPANY ADMINISTRATOR TURNS IT OFF BEFORE THE FREE PERIOD ENDS. The price, the date the free period ends, and the control to turn the add-on off are shown when the location is created and in your account dashboard, and we will email your administrators before the first charge. You may turn the add-on off at any time from your account dashboard. Turning it off takes effect at the end of the current billing period: you keep access to the videos through the end of the period you have already paid for, and no further add-on charges are made after that. Add-on fees are not prorated or refunded for partial periods. Turning the add-on off does not cancel your underlying subscription, and locations without the add-on continue to receive the video content included with the Service.

4A. Communications from Us

By creating an account, you agree to receive the following categories of communications from us:

  • Transactional Email: Account confirmations, password resets, billing receipts, renewal reminders, security alerts, terms-of-service updates, and other communications that are necessary to operate the Service. Transactional email is not promotional and cannot be unsubscribed from while you maintain an active account.
  • Product Email: Cycle-end summaries, leaderboard digests, training-tip recaps, 'What's New' release notes, and similar product communications. You may unsubscribe from product email at any time via the link in any product email or by adjusting communication preferences in your account settings. Unsubscribing from product email does not affect transactional email.
  • In-Service Notifications: The Service and the Chrome Extension may display in-app notifications, including Chrome notifications where you have granted notification permission, for daily tips, training, and shop-defined announcements. You may disable individual notification surfaces via the extension footer menu and your browser's notification controls.
  • Recipient Lists: Where a shop or enterprise administrator adds you to the Service, that administrator determines that your email address receives Service-related communications. The administrator is a co-controller of the recipient list for that purpose. If you no longer wish to receive Service-related communications, remove yourself from the shop or close your account.
  • Deliverability and Allowlisting: You and, where applicable, your shop's or enterprise's IT administrator are responsible for configuring email systems to receive messages from mechinspect.ai and our designated sending domains, including transactional senders such as Resend. Email that we transmit to the address on file is considered sent and delivered by us when our delivery provider records successful handoff, regardless of whether your or your shop's spam filter, mail gateway, junk-folder rules, or IT-managed quarantine subsequently rejects, delays, defers, or routes the message away from the recipient's primary inbox. We recommend allowlisting messages from *.mechinspect.ai. We are not responsible for missed billing renewals, missed terms-of-service notices, missed security alerts, or other adverse consequences caused by spam filtering, quarantine, or other recipient-side mail policies.

5. Fair Use

The Service is offered for normal, good-faith professional use by the licensed seat holder. To protect quality and stability for all users, you agree to the following Fair Use guidelines.

  • Reasonable Use: We may impose reasonable usage limits on the Service to prevent abuse and to ensure fair access for all users. We do not publish a specific per-user query cap; what counts as reasonable use is determined by typical professional shop activity and may evolve as the Service grows.
  • Per-Seat Use: Each subscription seat is licensed for use by a single named individual. You may not share login credentials, rotate multiple users through a single seat, or otherwise circumvent per-seat licensing. Sharing a single seat among multiple individuals constitutes a violation of this Fair Use Policy.
  • Excessive Use: If your usage materially exceeds normal professional use, we may contact you about your usage, temporarily reduce the speed or volume of your requests, or — in cases of sustained or abusive usage — suspend your account pending review. We will attempt to resolve usage concerns in good faith before taking enforcement action.
  • Automation Prohibited: You agree not to use automated scripts, scrapers, bots, or any other non-human means to access the Service. Automated or programmatic access that bypasses the standard user interface is a violation of this policy and may result in immediate account termination without refund.
  • Monitoring: We monitor usage in aggregate to detect abuse and ensure fair access. Monitoring is not used to profile individual users beyond what is necessary to enforce this policy. Usage data is retained in accordance with our Privacy Policy.
  • Good Faith: If you anticipate a temporary spike in legitimate usage (e.g., during a busy season or shop expansion), please contact us in advance at support@mechinspect.ai so we can plan accordingly.

5A. Gamification, Leaderboards, and Shop-Defined Rewards

The Service may include optional gamification features — including activity-weighted points, virtual badges, achievement tiers, cycle-based leaderboards, and other engagement mechanics (collectively, "Gamification Features"). Your use of Gamification Features is subject to these additional terms:

  • Virtual Points and Badges: Points, badges, ranks, and similar in-Service tokens are virtual, non-transferable, have no cash value, cannot be redeemed for cash or any other monetary equivalent from 404 Innovationz LLC, and may be adjusted, reset, or removed by us, by your shop or enterprise administrator, or at the end of any scheduled cycle.
  • Shop-Defined Rewards: Your shop or enterprise administrator may, at their sole discretion, choose to associate a real-world reward (in cash, gift cards, paid time off, or any other form) with leaderboard standing, badge attainment, or cycle outcomes (a "Shop-Defined Reward"). Any Shop-Defined Reward is offered, funded, awarded, taxed, and reported solely by the shop or enterprise that offers it, as part of the employment or contractor relationship between that shop and its personnel. 404 Innovationz LLC is not a party to any Shop-Defined Reward, does not fund, fulfill, guarantee, or administer it, and has no obligation to you or any other person with respect to it. Any dispute about a Shop-Defined Reward is solely between you and your shop or enterprise.
  • Not a Sweepstakes, Contest, or Lottery: Gamification Features are an internal workplace incentive tool offered by shops to their own personnel. They are not a public sweepstakes, prize promotion, contest, or lottery offered by 404 Innovationz LLC, and no purchase, payment, or other consideration is required by us to participate beyond your underlying subscription. Shops electing to associate Shop-Defined Rewards with Gamification Features are solely responsible for complying with all applicable employment, wage-and-hour, tax-withholding, and prize-promotion laws in their jurisdiction.
  • Leaderboard Visibility and Workplace Monitoring: Activity counts, rank, badges, and cycle results may be visible to other users within your shop or enterprise, including shop administrators, enterprise administrators, and — where leaderboards span multiple shops — personnel of other shops within the same enterprise. By using the Service while Gamification Features are enabled by your shop, you acknowledge that this visibility is an intended workplace-performance feature, not an error.
  • No Adverse Inference of Performance: Leaderboard rank and point totals reflect measured in-Service activity only and are not a measure of overall job performance, skill, customer outcomes, or value to the employer. Reasonable variations in activity arise from factors outside an individual's control, such as vehicle mix, schedule, time off, and role differences. You agree not to rely on leaderboard standing alone to support any employment decision or claim.
  • Administrator Controls: Shop and enterprise administrators may adjust point weights, define and modify cycle windows, exclude individual users or roles from leaderboards, edit Shop-Defined Reward text, and reset cycle results. We may also adjust Gamification Features at any time, including point weights and eligible action types, to improve fairness, prevent gaming, or fix defects.
  • Shop-Customizable Text: Any free-text content supplied by a shop or enterprise administrator and displayed through Gamification Features — including Shop-Defined Reward descriptions, badge captions, and cycle announcements — must comply with the Acceptable Use Policy in Section 7. We may remove, redact, hide pending review, or otherwise quarantine any such text that we reasonably believe is unlawful, infringing, harassing, deceptive (for example, describing a reward that is not actually offered), or in violation of these Terms, without prior notice to the shop or to leaderboard participants. We have no obligation to monitor shop-customizable text in advance, and our removal of any specific text does not waive our right to leave other text in place.

6. Third-Party Dependencies

The Service relies on third-party platforms, including but not limited to the Google Chrome web browser, Google Gemini AI models, and web-based shop management software. We do not control these platforms. We are not responsible for service interruptions, data inaccuracies, or functionality changes caused by these third-party providers.

No Affiliation, Sponsorship, or Endorsement

MECH Inspect is an independent product of 404 Innovationz LLC. Except for AutoNetTV Media, Inc., with which 404 Innovationz LLC has a reseller agreement covering the video content described in Section 6A, we are not affiliated with, sponsored by, endorsed by, partnered with, or otherwise associated with any third-party platform, shop management system, artificial intelligence provider, payment processor, infrastructure provider, vehicle manufacturer (OEM), or other service provider mentioned by name in our Service or documentation, including but not limited to Shop-Ware, Tekmetric, Shopmonkey, Mitchell1, AutoLeap, ShopBoss, Google (including Google Chrome, Google Gemini, and Google Analytics), Stripe, Supabase, Resend, and any vehicle manufacturer or OEM whose vehicles, trouble codes, parts, recalls, technical service bulletins, or service procedures the Service may reference. All trademarks, service marks, trade names, logos, and brand names appearing in the Service are the property of their respective owners. References to third-party products, names, or trademarks are made solely for identification, interoperability, and informational purposes, and do not constitute or imply any sponsorship, endorsement, certification, partnership, or other affiliation between MECH Inspect and the named third party. Diagnostic suggestions and information generated by the Service are produced by 404 Innovationz LLC's AI tooling and have not been reviewed, approved, or endorsed by any vehicle manufacturer or shop management system provider.

Authorized Use of Third-Party Platforms

Where you use the Service in connection with any third-party platform — including but not limited to shop management systems, vehicle history providers, parts catalogs, or payment networks — you represent and warrant that (a) you are an authorized user, licensee, or subscriber of that platform; (b) your use of the Service in connection with that platform does not violate any agreement, terms of service, or acceptable use policy between you and the operator of that platform; and (c) you have all necessary rights and authority to direct the Service to read, process, and transmit data that you can lawfully access through that platform. You are solely responsible for ensuring your combined use of the Service and any third-party platform complies with all policies, terms, and rules applicable to that platform.

Platform Changes and Availability

The functionality of certain Service features depends on the continued availability, structure, and policies of third-party platforms we do not control. We are not responsible for, and have no obligation to maintain feature parity in response to: changes to third-party platform user interfaces, internal data structures, or APIs; restrictions, rate limits, or blocks imposed by a third-party platform on integrations, browser extensions, or programmatic access; suspension or termination of your account by a third-party platform; or any other modification to a third-party platform that affects how the Service interoperates with it. We may at any time, with or without notice, modify, disable, or remove any Service feature that depends on a third-party platform.

6A. Third-Party Video Content

The Service may make explainer videos and related materials available to you and, through you, to your customers. Some of that content is provided by AutoNetTV Media, Inc. ("AutoNetTV") under a reseller agreement with 404 Innovationz LLC ("Third-Party Video Content"). This Section applies to Third-Party Video Content and to any credentials, links, pages, players, or tokens through which it is delivered. Where this Section conflicts with any other provision of these Terms, this Section controls for Third-Party Video Content.

Ownership and License

As between you, 404 Innovationz LLC, and AutoNetTV, AutoNetTV owns all right, title, and interest in and to the Third-Party Video Content and any related software, programs, and materials, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, and reserves all rights not expressly granted. Third-Party Video Content is licensed, not sold. Subject to these Terms and to an active subscription, you receive a limited, non-exclusive, non-transferable, revocable right to access and display Third-Party Video Content solely within the Service, through the links, pages, and players the Service provides, for the purpose of explaining recommended or performed services to your own customers. No other right is granted. Ownership notice: © 2026 AutoNetTV Media, Inc. All rights reserved.

Restrictions

You will not, and will not permit anyone else to: (a) download, extract, record, capture, copy, or reproduce Third-Party Video Content or any part of it; (b) modify, translate, edit, or create derivative works from it; (c) redistribute, sell, sublicense, publish, embed, or otherwise make it available outside the Service, including on your own website or social media, other than by sharing a link the Service created with the customer it was created for; (d) reverse engineer, decompile, disassemble, or attempt to derive the source files, keys, tokens, or delivery mechanisms behind it; (e) remove, alter, or obscure any trademark, logo, copyright, or other proprietary notice that appears on or with it; or (f) use it for any purpose other than the one described above.

Availability and Changes

AutoNetTV may add, modify, or remove any Third-Party Video Content at any time in its sole discretion, and our access to it depends on our agreement with AutoNetTV remaining in effect. We may change, suspend, or withdraw Third-Party Video Content, or the add-on that delivers it, at any time with or without notice. If Third-Party Video Content becomes unavailable, links the Service created for it may stop resolving to that content and the Service may substitute other video content. Availability of a particular title, orientation, or language is not guaranteed.

Disclaimers and Liability

THIRD-PARTY VIDEO CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE." NEITHER 404 INNOVATIONZ LLC NOR AUTONETTV MAKES ANY WARRANTY OF ANY KIND ABOUT IT, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE AVAILABILITY. Third-Party Video Content is general consumer education. It is not a diagnosis, a repair procedure, or a substitute for your professional judgment about a specific vehicle. TO THE FULLEST EXTENT PERMITTED BY LAW, AUTONETTV WILL HAVE NO LIABILITY OF ANY KIND TO YOU OR YOUR CUSTOMERS ARISING FROM THIRD-PARTY VIDEO CONTENT, AND 404 INNOVATIONZ LLC'S LIABILITY FOR IT IS LIMITED AS SET OUT IN SECTIONS 10 AND 11. AutoNetTV is an intended third-party beneficiary of this Section 6A and may enforce it directly.

Third-Party Measurement

When a customer opens a video link the Service created, the video page records viewing events (such as open, play, progress, and completion) so your shop can see how customers engage with the videos you send. Where the video is Third-Party Video Content, the page also loads AutoNetTV's player, which may use AutoNetTV's own analytics tools. Those tools are controlled by AutoNetTV, not by us, and are described in our Privacy Policy.

Customer Messaging

The Service does not send text messages, emails, or other communications to vehicle owners. When you copy or insert a video link, a report, or any other content from the Service into a message, work order, estimate, or any other communication that reaches a vehicle owner, you are the sender of that communication. You are solely responsible for obtaining any consent it requires and for complying with every law that applies to it, including the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing, robocall, and consumer-messaging laws, and the acceptable-use and consent rules of any messaging platform or shop management system you send it through. 404 Innovationz LLC and AutoNetTV are not senders of, and have no responsibility for, communications you send.

6B. Data Processing Addendum

Our Data Processing Addendum, published at mechinspect.ai/dpa, forms part of these Terms and applies to personal data you submit to the Service. If it conflicts with these Terms on the processing of personal data, it controls.

7. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, sublicense, or redistribute access to the Service
  • Scrape, crawl, or use automated means to access the Service
  • Circumvent any rate limits, access controls, or security measures
  • Impersonate another person or entity
  • Input customer personal information into free-text fields (such as customer names, addresses, phone numbers, or payment card numbers in note fields, query inputs, or photo captions). Vehicle identifiers (VIN, license plate, mileage, etc.) that the extension reads automatically from your shop management system are governed by our Privacy Policy and are not subject to this prohibition.

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

8. Intellectual Property

The Service, including its original content, features, code, logos, and functionality, is the exclusive property of 404 Innovationz LLC and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You agree not to reproduce, copy, sell, resell, or exploit any portion of the Service.

Feedback License

If you choose to send us feedback, suggestions, ideas, feature requests, complaints, bug reports, or other comments about the Service (collectively, "Feedback"), you grant 404 Innovationz LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and incorporate that Feedback into our products, services, and documentation, without any obligation of attribution, compensation, or further consent. You represent that any Feedback you provide is your own and does not infringe the rights of any third party. Nothing in this Section requires us to act on any Feedback.

9. Indemnification

You agree to defend, indemnify, and hold harmless 404 Innovationz LLC, its officers, directors, employees, and agents (and, for claims arising under clauses (d) and (e) below, AutoNetTV Media, Inc.) from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service; (b) your violation of any term of these Terms, including your representations under Section 6 regarding authorized use of third-party platforms; (c) any damage to a vehicle or any claim from a third party (including a vehicle owner or the operator of any third-party platform with which you use the Service) related to your use of information obtained from the Service, including any claim that your use of the Service in connection with a third-party platform violates that platform's terms of service, acceptable use policy, or other applicable rules; (d) your violation of Section 6A regarding Third-Party Video Content; or (e) any communication you send to a vehicle owner or any other person that contains links, reports, or other content obtained from the Service, including any claim under the Telephone Consumer Protection Act, the CAN-SPAM Act, or any state telemarketing or consumer-messaging law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 404 INNOVATIONZ LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (USD $50.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. WHERE AN ACCOUNT IS HELD BY AN ENTITY THAT MANAGES ONE OR MORE SHOP LOCATIONS, INCLUDING LOCATIONS OWNED OR OPERATED BY SEPARATE LEGAL ENTITIES, THIS CAP APPLIES IN THE AGGREGATE TO THAT ENTITY AND ALL OF ITS LOCATIONS AND AFFILIATED ENTITIES TOGETHER, AS A SINGLE, CUMULATIVE SHARED LIMIT FOR OUR TOTAL LIABILITY, AND NOT SEPARATELY TO EACH LOCATION OR ENTITY.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

  • Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration administered in Fairfax County, Virginia, rather than in court. There is no judge or jury in arbitration.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
  • Small Claims Exception: Either party may bring qualifying claims in small claims court.
  • Opt-Out: You may opt out of this arbitration agreement by sending written notice to legal@mechinspect.ai within 30 days of first accepting these Terms. If you opt out, disputes will be resolved exclusively in the state or federal courts located in Fairfax County, Virginia.

13. Modification to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after any such modification constitutes your acceptance of the new Terms.

14. General Provisions

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet service provider failures, or government actions.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Security Policy and, where it applies, our Data Processing Addendum, constitute the entire agreement between you and us regarding the Service.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Survival

The following provisions will survive any expiration or termination of these Terms: Section 2 (Nature of Service & AI Disclaimer), Section 2A (Vehicle History & Data Reports Disclaimer), Section 4 (with respect to any fees accrued before termination), Section 5A (Gamification, Leaderboards, and Shop-Defined Rewards), Section 6 (Third-Party Dependencies and No Affiliation, including Authorized Use of Third-Party Platforms and Platform Changes and Availability), Section 8 (Intellectual Property, including the Feedback License), Section 9 (Indemnification), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 12 (Governing Law and Dispute Resolution), and this Section 14 (General Provisions). All other provisions terminate when these Terms terminate.

  • Notices to Us: Any legal notice to us under these Terms — including notice of breach, termination, an arbitration demand, or service of process — must be in writing and sent to: 404 Innovationz LLC, Attn: Legal, 9230 Old Keene Mill Rd #1004, Burke, VA 22015-4201, USA, with a courtesy copy by email to legal@mechinspect.ai. Notice is effective on the date of physical delivery or, for delivery by certified mail or commercial overnight courier, on the date shown by the carrier's confirmation of delivery. Email alone (whether to legal@mechinspect.ai, support@mechinspect.ai, or any other address) does not constitute legal notice for purposes of breach, termination, or arbitration, but may be used for routine, non-legal communications.
  • Notices to You: We may give you legal notice by email to the address associated with your account, by in-Service notification, or by posting a conspicuous notice on our website. Notice is effective when sent (for email or in-Service notification) or when posted (for website notice). It is your responsibility to keep your account email address current; we are not responsible for notices that fail because you provided an incorrect email or did not maintain access to that email. For the avoidance of doubt, notice given by email is effective when sent by our systems, including where the recipient's spam filter, mail gateway, or IT-managed quarantine subsequently rejects, delays, or routes that email away from the primary inbox (see Section 4A).

Publicity

We may identify you or your shop as a MECH Inspect customer in customer lists on our website, in marketing materials, and in communications with prospective customers, and we may use your business name and logo for that purpose. Any other public statements that name you or quote you — including press releases, case studies, testimonials in advertising, and social-media posts that identify you by name — require your prior written consent, which will not be unreasonably withheld. You may withdraw consent to be listed as a customer at any time by emailing legal@mechinspect.ai; we will remove your name and logo from forward-facing materials within 30 days, except where they are embedded in archived or already-distributed content beyond our reasonable control.
